By accessing the website, creating an account, placing an order, requesting services, or otherwise using EZCustomAg.com, you agree to these Terms.

If you do not agree with these Terms, please do not use the website or place an order through it.

1. About EZ Custom Ag

EZ Custom Ag is a farmer-owned agricultural retailer and service provider located in Bloomingburg, Ohio.

Depending on location, product, season, availability, and applicable law, our products and services may include:

Not every product or service offered by EZ Custom Ag is available in every location.

2. Eligibility to Make Purchases

You must have the legal authority and capacity to enter into a binding agreement to make purchases through EZCustomAg.com.

If you are making a purchase on behalf of a farm, business, partnership, corporation, LLC, or other organization, you represent that you are authorized to act on behalf of that organization.

Certain agricultural products may have additional age, licensing, certification, location, use, or regulatory requirements.

3. Customer Accounts

Some website features may allow or require you to create an account.

You are responsible for:

• Protecting your username and password

Please notify EZ Custom Ag promptly if you believe your account has been accessed or used without authorization.

However, agricultural products and manufacturer information change frequently.

Manufacturers may change:

• Registration status
• Product names
• Analyses
• Application instructions
• Availability
• Technical recommendations
• Product claims

Information displayed on EZCustomAg.com may therefore occasionally contain errors, become outdated, or differ from the product actually supplied.

Current Product Label Controls

For regulated agricultural products, the current official product label and applicable law control over any summary, article, product description, calculator, recommendation, or other information appearing on EZCustomAg.com.

Always read and follow the current product label before use.

If website information conflicts with a current product label or manufacturer instruction, the product label or current manufacturer instruction controls.

5. Pesticides and Regulated Agricultural Products

Some products sold or discussed by EZ Custom Ag may be regulated by the U.S. Environmental Protection Agency, state departments of agriculture, or other regulatory authorities.

Product registration and permitted uses may vary by state.

EZ Custom Ag may:

Restricted-use pesticides and other regulated products will only be sold or distributed as permitted by applicable federal and state law.

Where applicable, customers may be required to provide valid applicator certification, licensing information, or other documentation before an order can be released.

The customer is responsible for ensuring that products are used by properly qualified individuals and in accordance with applicable labeling and law.

Nothing on EZCustomAg.com authorizes use of any pesticide in a manner inconsistent with its labeling.

6. Seed and Treated Seed

Seed performance is affected by many factors outside the control of EZ Custom Ag, including:

• Planting conditions
• Soil conditions
• Population
• Disease
• Insects
• Herbicide injury
• Fertility
• Moisture
• Harvest conditions
• Storage
• Management practices

Seed germination, purity, treatment, lot information, and other regulated information supplied with the product or shown on the applicable seed tag control over general website descriptions.

Treated seed must be handled, planted, stored, and disposed of in accordance with the applicable seed tag, treatment label, manufacturer instructions, and law.

EZ Custom Ag does not guarantee a particular yield or financial result from any seed variety, hybrid, seed treatment, or production practice.

Manufacturer or seed-company warranties and limitations may also apply.

7. Pricing

Unless otherwise stated, prices displayed on EZCustomAg.com are in U.S. dollars.

We make reasonable efforts to keep pricing accurate, but pricing errors may occur.

Prices may also change due to:

• Manufacturer price changes
• Commodity markets
• Freight costs
• Supplier changes
• Seasonal programs
• Rebates
• Availability
• Package quantities
• Order volume
• Regulatory costs
• Other market conditions

We reserve the right to correct pricing errors before completing an order.

If an order has already been submitted at an incorrect price, we may contact you with the corrected price and allow you to proceed or cancel the affected item or order.

If we cancel an order after payment has been collected, the applicable payment will be refunded.

8. Taxes

Applicable sales tax and other legally required charges may be added to orders.

Customers claiming tax-exempt status may be required to provide valid exemption documentation before the exemption can be applied.

The customer is responsible for providing accurate tax-exemption information.

9. Payment

Payment methods may include credit or debit cards, approved financing programs, account terms, checks, electronic payments, or other methods made available by EZ Custom Ag.

Payment options may vary by product, customer, and transaction.

Third-party payment or financing services, including services offered by financial institutions, may be subject to separate terms and privacy policies.

Approval by a financing provider is not controlled or guaranteed by EZ Custom Ag.

10. Orders and Order Acceptance

Submitting an order through EZCustomAg.com is a request to purchase the listed products.

An automated order confirmation acknowledges that we received your order. It does not necessarily mean the order has been finally accepted or can be fulfilled.

Orders may require review for:

If payment has already been collected for an order we cannot fulfill, we will refund the applicable amount.

11. Product Availability

Inventory shown online may not always reflect real-time inventory at EZ Custom Ag, our suppliers, manufacturers, warehouses, or distributors.

Agricultural products are particularly subject to seasonal availability and manufacturer allocation.

We do not guarantee that a product displayed online will remain available.

If a product becomes unavailable after an order is submitted, we may:

• Offer a substitute for customer approval
• Offer a revised delivery timeline
• Partially fulfill the order with customer approval
• Cancel and refund the unavailable portion

We will not substitute a materially different product without customer approval.

12. Shipping and Delivery

Products may be fulfilled through:

• EZ Custom Ag inventory
• Local EZ Custom Ag delivery
• Parcel carriers
• Freight or LTL carriers
• Manufacturer warehouses
• Distributor warehouses
• Direct shipment from a supplier

Shipping charges, delivery methods, freight requirements, and estimated delivery times may vary substantially by product and destination.

Any advertised shipment or delivery estimate is based on information reasonably available when the estimate is made.

If we learn that an order cannot ship within the timeframe represented to the customer, we will handle the delay, cancellation option, and any required refund in accordance with applicable law.

Some orders may require someone to be present to receive delivery, provide unloading equipment, inspect freight, or arrange delivery access.

Additional terms are provided in our Shipping & Delivery Policy, which forms part of these Terms.

13. Freight Deliveries

Certain agricultural products are heavy, bulky, palletized, or otherwise unsuitable for standard parcel shipping.

Freight deliveries may require:

• A commercial delivery location
• Suitable truck access
• A loading dock
• A forklift, tractor, skid steer, or other unloading equipment
• A scheduled delivery appointment
• Additional carrier services

Customers are responsible for providing accurate delivery information and advising us of unusual access restrictions before shipment.

Additional charges resulting from incorrect delivery information, failed delivery attempts, requested special services, or lack of appropriate unloading arrangements may be the customer’s responsibility when permitted by law and disclosed as applicable.

Customers should inspect freight shipments for visible damage, shortages, or incorrect items when received and notify EZ Custom Ag promptly if there is a problem.

14. All Sales Final — No Returns or Exchanges

ALL SALES ARE FINAL. EZ CUSTOM AG DOES NOT ACCEPT RETURNS OR EXCHANGES EXCEPT AS SPECIFICALLY DESCRIBED BELOW OR AS REQUIRED BY LAW.

Agricultural inputs can present regulatory, product-integrity, storage, contamination, traceability, shelf-life, temperature, liability, and resale concerns after they leave our control.

For these reasons, products purchased from EZ Custom Ag are generally not returnable once purchased, picked up, delivered, or shipped.

This policy applies to products including, but not limited to:

• Seed
• Treated seed
• Crop-protection products
• Fertilizers
• Biological products
• Foliar products
• Adjuvants
• Seed treatments
• Special-order products
• Custom products or blends
• Temperature-sensitive products
• Products with limited shelf life
• Products shipped directly from a manufacturer, supplier, or distributor
• Opened or unopened agricultural products

Limited Exceptions

EZ Custom Ag may provide a replacement, correction, refund, credit, or other appropriate resolution when:

• EZ Custom Ag shipped or supplied the wrong product
• A shipment arrives damaged and the damage is properly documented and reported promptly
• A shipment is missing product or contains an order discrepancy that is promptly reported
• A manufacturer authorizes a warranty, replacement, replant, quality, or similar program
• Applicable law requires a particular remedy

A product being defective, damaged, or subject to a manufacturer program does not automatically mean the product should be returned to EZ Custom Ag. Customers should contact us before moving, returning, disposing of, or otherwise handling a product involved in a claim.

Customer Order Cancellations

Requests to cancel an order before shipment or fulfillment may be considered, but cancellation is not guaranteed, particularly after products have been ordered from a supplier, treated, prepared, allocated, loaded, shipped, or otherwise committed to the customer.

Disclosure Before Purchase

Our Returns & Refunds Policy will be clearly available before purchase and forms part of these Terms.

Nothing in this section eliminates any customer right or remedy that applicable law does not allow EZ Custom Ag to waive.

15. Agronomic Information and Recommendations

EZ Custom Ag provides agronomic information intended to help growers make better-informed management decisions.

Agricultural production involves substantial uncertainty.

Results may vary because of factors including:

• Weather
• Soil type
• Soil fertility
• Crop genetics
• Disease
• Insects
• Weed pressure
• Application timing
• Application method
• Previous management
• Environmental conditions
• Equipment
• Water availability
• Grower practices

Agronomic information appearing generally on EZCustomAg.com does not replace product labeling, regulatory requirements, or site-specific professional judgment.

A recommendation provided as part of a separately contracted agronomic service may be based on additional customer-specific information and may be subject to additional service terms.

16. Calculators, Tools, and Market Information

EZCustomAg.com may provide agricultural calculators, indexes, market comparisons, fertilizer ratios, yield tools, crop-removal estimates, financial calculations, or similar resources.

These tools are intended for planning and informational purposes.

Outputs may depend on:

• User-entered information
• Assumptions
• Market information
• Published agronomic data
• Estimated values
• Third-party information

EZ Custom Ag does not guarantee that calculator results, market prices, fertilizer indexes, yield estimates, ROI estimates, or other outputs will exactly reflect a customer’s actual costs, yields, market opportunities, or field results.

Users should verify important business, agronomic, application, and financial decisions using information appropriate to their operation.

17. No Guarantee of Yield or Return on Investment

Testimonials, trial results, research results, yield responses, savings examples, return-on-investment calculations, product comparisons, and agronomic examples may be presented for educational or informational purposes.

They do not constitute a guarantee that another farm or field will achieve the same result.

Past performance of a seed, product, program, practice, or service does not guarantee future performance.

18. Manufacturer Warranties

Many products sold by EZ Custom Ag are manufactured by third parties.

Manufacturer warranties, guarantees, return programs, replant programs, or other product-specific terms may apply.

Where applicable, EZ Custom Ag may assist customers in communicating with the manufacturer regarding a product concern or warranty claim.

A manufacturer-authorized warranty, credit, replacement, or replant program is separate from EZ Custom Ag’s general no-return policy and will be handled according to the manufacturer’s applicable terms.

Except for warranties expressly made by EZ Custom Ag in writing, products are provided subject to the warranties and limitations supplied by their manufacturers and to any rights provided by applicable law.

19. Disclaimer of Warranties

To the fullest extent permitted by applicable law, and except for any express written warranty provided by EZ Custom Ag:

EZCustomAg.com and its general informational content are provided on an “as available” basis.

We do not warrant that:

• The website will always operate without interruption
• Website information will always be free from error
• Every product will always be available
• Every agricultural recommendation will produce a specific outcome
• Every calculator or estimate will precisely predict actual results

29. No Waiver

Failure by EZ Custom Ag to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision later.

30. Entire Agreement

These Terms, together with applicable policies, product-specific terms, written quotes, invoices, service agreements, and other agreements expressly applicable to a transaction, constitute the agreement governing use of the website and applicable purchases.

If a separately signed written agreement between EZ Custom Ag and a customer conflicts with these general website Terms, the separately signed agreement controls for that transaction to the extent of the conflict.
